Shareholders’ Agreement (without investors) with comments, adapted to Swedish law. This was previously known as the “Founders’ Agreement”.
This edition contains well constructed paragraphs and extensive commentary covering:
(Among other things)
- Vesting of shares for founders (reversed vesting)
- Not having any external investors
- Transfer of shares
- Relationship between the board of directors and the company
- How to add additional shareholders later
- What happens at an exit
- Intellectual Property
- Safety clauses in case of conflicts later on
The Shareholders’ Agreement is one of the most central founding documents of your company. Getting it right will lower risk and save you a lot of hassle further down the line.

The Templates of Startup Tools are truly fantastic – I’ve recommended them numerous times now. I’ve used the shareholder agreements in various contexts and they give you a complete set of the best practices that you only need to fill in your details. Almost, that is. Think it through what the individual clauses mean for your business situation. We for example, modified the vesting terms quite a bit as we found the suggested one too generous which can lead to very heavy dilution.
Erik’s comments are super helpful though to grasp the purpose of each clause to make informed decisions – in most cases without paying an additional lawyer.
