The Templates of Startup Tools are truly fantastic – I’ve recommended them numerous times now. I’ve used the shareholder agreements in various contexts and they give you a complete set of the best practices that you only need to fill in your details. Almost, that is. Think it through what the individual clauses mean for your business situation. We for example, modified the vesting terms quite a bit as we found the suggested one too generous which can lead to very heavy dilution.
Erik’s comments are super helpful though to grasp the purpose of each clause to make informed decisions – in most cases without paying an additional lawyer.
